Company Secretary

A private bank is looking to recruit a Company Secretary to provide the company secretarial and corporate governance function for the offices, to liaise with and support their local administration teams, and wealth planners.

The successful candidate will undertake all duties in relation to each Master Entity, including, but not limited to, the following:

  • Preparing all statutory and regulatory returns, with input from other teams as necessary
  • Filing accounts
  • Maintaining standard resolutions 
  • Preparing all board meeting packs and completing all minutes
  • Liaising with senior management teams, compliance and human resources to ensure all correspondence with the Guernsey Financial Services Commission is accurate and timely
  • Liaising with the Commission under the guidance of compliance and senior management
  • Updating any signing authorities
  • Responding to requests regarding queries from internal and external auditors 
  • Liaising with in-house counsel in other jurisdictions

The successful candidate will demonstrate the following skills:

  • Able to identify efficiencies and implement arrangements to exploit them
  • Be well organised, conscientious and proactive
  • Be confident in manner, as necessary, and have the ability to handle a broad range of administrative tasks efficiently
  • Have a systematic approach, with an ability to work to tight deadlines with minimum supervision
