Company Secretarial – Senior Associate

A private equity company has a vacancy for a Senior Associate to work as part of a client service team on a range of client matters, with this role specialising in company secretarial duties for established and new funds and corporate entities. 

The Senior Associate will carry out client duties including, but not limited to the following:  

  • Formulate Board / Shareholder meeting agendas
  • Preparation of Board Pack using Virtual Boardroom
  • Board / Shareholder meeting attendance / Board communication
  • Ad hoc Board / Shareholders / Managers / unit holder / committee - Minute taking / drafting /circulation / approval / filing
  • Drafting of Board / Shareholders minutes and written resolutions
  • Dealing with audit and AGM /waivers
  • Statutory register validation / sign off
  • Annual return validations
  • Undertake company liquidation / dissolution process
  • Declarations of Trust

Technical Knowledge / Skills Required:

  • Ideally studying towards the final stages of ICSA or other relevant qualification
  • Ability to delegate tasks but remain accountable for ownership
  • Attention to detail
  • Excellent communicator
  • Ability to lead by example and set best practice
  • Strong organisational and time management skills
  • Educated to minimum A-Level
  • Ideally in the process of taking a relevant professional qualification – although not essential
  • Previous experience of administration and company secretarial duties in a Funds and Company environment is essential.
